The Blade has granted permission to the company or publisher listed above for republication of the following material(s) subject to the conditions set forth below.

Authorized Usage:

The Blade (“Licensor”) grant NFL Productions LLC (“Licensee”) and its subsidiaries, affiliates, successors and assigns, and each of their respective shareholders, officers, directors, employees, agents, representatives and licensees (collectively, the “NFL Entities”) the irrevocable, perpetual, non-exclusive, worldwide and royalty-free right, but not the obligation, to use the Stills in connection with the production and exploitation of the “A Football Life: Charles Woodson” show (the “Show”), including, but not limited to, promotion, publicity and advertising of the Show, in all media formats and versions, whether now known or hereafter developed, including but not limited to (a) over-the-air, cable and satellite and other means of radio and television broadcasting, (b) distribution or transmission from a website or otherwise through the Internet, (c) any other means of wireline and wireless transmission and (d) any analogue (including print) or digital media.
Licensee acknowledges that Licensor is the exclusive owner, or authorized agent, of all right, title and interest, including, but not limited to, copyright rights, in and to the Show. Licensee shall credit Licensor as the source of the Stills in the acknowledgments and credits of the Show. 
Credit should be as follows: The Blade, Chris Walker, 1994, Private Library, 541 N. Superior St., Toledo, Oh, 43660. 
Licensor represents and warrants to Licensor that Licensor has the full legal right, power and authority to grant to the NFL Entities the rights provided for herein and that neither the Still nor the exercise of the rights granted to the NFL Entities herein shall: (i) infringe upon or violate any rights of privacy or publicity of, or constitute a libel or slander against, or violate any copyright, or common law or any other right of, any person or entity, or (ii) require any clearance, payment or activity by the NFL Entities, and that all required clearances have been obtained by Licensor in order for the NFL Entities to use the stills as contemplated herein. Licensor hereby indemnifies and holds harmless the NFL Entities from and against any and all claims, liabilities, damages, or costs, including reasonable attorneys’ fees, arising from the use of the Still as provided herein or arising from the breach of any of Licensor’s representations and warranties.
Nothing contained herein shall be deemed to constitute a partnership between or joint venture by the parties, nor shall either of them be deemed the agent of the other. This letter agreement shall be governed by, and construed in accordance with, the laws of the State of New York, without regard to its choice-of-law principles. Each Party agrees that any litigation, action or proceeding arising out of or relating to this Agreement shall be instituted exclusively in a state or federal court of competent subject matter jurisdiction in the City of New York.
Licensee shall pay Licensor a fee of one hundred and fifty dollars ($150) (the “Fee”) for the use of the Still as described above. The Fee shall be payable by Licensee within 30 days upon receipt of invoice.
This is a two part assignment. 

Fee: $150

Conditions for this permission:

  • Rights are not transferable to other projects or individuals without prior consent of The Blade. Materials must be used as published.  Edited or altered material must be pre-approved.
  • Fee includes obtaining materials for republication and all Blade service fees relating to republication.
  • Licensee acknowledges that some jurisdictions provide legal protection against a person’s image, likeness or property being used for commercial purposes without their consent. The Blade makes no representations or warranties as to whether or not any additional payments or fees may be due as a result of republication. Licensee shall be responsible for all additional fees and payments.
